RTI Health Solutions SharePoint Online (SPO) Third Party User Agreement

  1. RTI Health Solutions (RTI-HS) is willing to provide a SharePoint Online (SPO) site, operated out of the U.S., for sharing documents and non-personal or anonymized data between RTI and your organization to support collaboration on one or more projects, subject to the following terms and conditions.  
  2. By accessing information on the RTI-HS SPO site, you are deemed to have accepted these terms and conditions and you commit to comply with such terms. If you or your organization object to these terms, you should not use the SPO site. 
  3. The SPO site is only to be used as a communication and collaboration tool for exchanging content, and no regulatory decisions may be made directly from information transmitted through or stored on the SPO site. The authoritative source document(s) for all regulatory content must remain within the respective party’s validated system or repository.  
  4. Each party shall move all information classified as ‘Confidential’ and which is shared through the SPO site to the party’s internal secure repository which is used to store confidential project information. Such confidential information may not be stored on any personal devices or systems.   
  5. You may share third party content (documents, articles, images etc.) via the SPO site, provided that when you upload any content owned by a third party, you represent and warrant that you have obtained the necessary Intellectual Property licenses or permissions, including copyright, to share the content with RTI-HS and any other third parties who have access to the SPO site. 
  6. Placing information into or removing information from the SPO site does not change the ownership rights in that information.  
  7. Use of the content in the SPO site is to be done strictly in compliance with the applicable contract for the work or services. Any use of the content for other business purposes or personal use is strictly prohibited.  
  8. Data placed in the SPO site does not lose its status as confidential merely because it is delivered via the SPO site. Disclosure of the SPO site content to any third party is prohibited except when the content owner’s prior written consent has been obtained.  
  9. You will not upload any document or file containing personally identifiable data (or in the case of data originating outside the U.S., any pseudonymized personal data) into the SPO site. You represent and warrant that you will comply with all applicable data protection laws and regulations and any agreements with RTI-HS or third parties. 
  10. You must only access and use the SPO content (1) according to the access level provided by RTI; (2) for purposes of the activity identified in section 7 above; (3) only during the time the relevant agreement with RTI-HS is in force; and (4) in accordance with governing contractual agreements and all applicable laws and regulations. 
  11. You must notify RTI-HS within one (1) business day if a person you have authorized for access to the SPO site leaves your employ or no longer has a legitimate reason to access the site, so that RTI-HS may remove access and ensure protection of all parties’ confidential information. 
  12. The information and data provided by you through the SPO site will be used by RTI-HS solely to carry out its obligations under the applicable project agreement. 
  13. If RTI-HS uploads any content (documents, articles, images etc.) owned by a third party, RTI-HS represents and warrants that it has obtained the necessary Intellectual Property licenses or permissions, including copyright, to share the content with you.  
  14. This User Agreement governs only the sharing of information through the SPO site and except for the items addressed herein does not otherwise modify the terms of project contracts or other legal agreements in place between RTI-HS and you or your organization.
